A Participant's failure to personally make the booking, pay for the booking, or communicate directly with the Company does not exempt that Participant from these Terms and Conditions.<\/p>\r\n<p>By attending, boarding the vessel, using any pontoon or Company facility, entering the water, using Company equipment, or otherwise participating in the excursion or activity, each Participant shall be deemed to have read, understood, accepted and agreed to be bound by these Terms and Conditions, including the provisions relating to assumption of risk and limitation of liability, to the fullest extent permitted by applicable law.<\/p>\r\n<h3>10.2 Acknowledgement and Assumption of Risk<\/h3>\r\n<p>Participants acknowledge that boat excursions and water-based activities inherently involve risks which cannot be completely eliminated, including, without limitation, risks associated with boarding and disembarking vessels, movement of the vessel, changing weather and sea conditions, waves, currents, wind, tides, marine life, swimming, snorkeling, underwater activities, slips and falls, loss of balance, immersion in water, contact with or proximity to the vessel or its propulsion system, including the risk of propeller-related injuries, cuts, wounds or other physical injury, interaction with equipment, and other reasonably foreseeable or unforeseeable risks inherent in marine and recreational activities.<\/p>\r\n<p>Participants further acknowledge that risks may arise from the actions or omissions of other passengers, third parties, crew members, or circumstances beyond the Company's reasonable control.<\/p>\r\n<p>Each Participant voluntarily assumes responsibility for the risks inherent in participating in the excursion or activity and confirms that they are participating voluntarily and at their own risk, subject always to any rights and protections that cannot lawfully be excluded or limited.<\/p>\r\n<h3>10.3 Compliance with Safety Instructions<\/h3>\r\n<p>All Participants must comply fully and immediately with all safety instructions, directions and recommendations given by the captain, crew, guides or representatives of the Company.<\/p>\r\n<p>This includes, without limitation, instructions concerning:<\/p>\r\n<ul>\r\n<li>boarding and disembarking;<\/li>\r\n<li>seating and movement on board;<\/li>\r\n<li>use of life jackets and other safety equipment;<\/li>\r\n<li>swimming and water-entry procedures;<\/li>\r\n<li>snorkeling, diving, freediving or other water-based activities;<\/li>\r\n<li>interaction with marine life;<\/li>\r\n<li>use of ladders, platforms, pontoons and other equipment;<\/li>\r\n<li>weather, sea and navigation conditions; and<\/li>\r\n<li>any instruction given for the protection of the Participant, other passengers, crew, vessel or equipment.<\/li>\r\n<\/ul>\r\n<p>The Company may require any Participant to wear a life jacket or other safety equipment whenever the Company or its crew considers this necessary or appropriate.<\/p>\r\n<p>Failure or refusal to comply with any safety instruction may result in the Participant being prohibited from participating in a particular activity or, where necessary for safety reasons, being refused boarding or removed from the activity, without entitlement to compensation or refund, to the extent permitted by applicable law.<\/p>\r\n<h3>10.4 Right to Refuse or Terminate Participation<\/h3>\r\n<p>The Company and its captain or crew reserve the right, at their sole reasonable discretion and where considered necessary for safety, operational or other legitimate reasons, to refuse boarding, restrict participation, suspend an activity, alter an itinerary, return to shore, or terminate a Participant's participation.<\/p>\r\n<p>This may include circumstances where a Participant:<\/p>\r\n<ul>\r\n<li>fails to comply with safety instructions;<\/li>\r\n<li>behaves aggressively, abusively, recklessly, intoxicatedly or disruptively;<\/li>\r\n<li>places themselves, other Participants, crew, the vessel or equipment at risk;<\/li>\r\n<li>is unable to safely participate in an activity;<\/li>\r\n<li>provides false or materially incomplete information relevant to their participation; or<\/li>\r\n<li>otherwise acts in a manner that may compromise the safety, comfort or enjoyment of the excursion.<\/li>\r\n<\/ul>\r\n<p>No refund or compensation shall be due where participation is refused or terminated as a result of the Participant's own conduct, breach of these Terms and Conditions, or failure to follow safety instructions, subject to applicable law.<\/p>\r\n<h3>10.5 Weather, Sea Conditions and Operational Changes<\/h3>\r\n<p>Participants acknowledge that marine activities are subject to weather, sea, wind, tides, currents, visibility, marine conditions, governmental restrictions, port or harbour restrictions, navigation requirements and other circumstances beyond the Company's reasonable control.<\/p>\r\n<p>The Company may, where reasonably necessary, modify, postpone, shorten, alter or cancel an itinerary, change the order or nature of activities, return to shore, or suspend swimming or other water-based activities in the interests of safety or operational necessity.<\/p>\r\n<p>The Company shall not be responsible for losses, expenses, missed connections, accommodation costs, transportation costs or other consequential losses arising from such circumstances, except where such liability cannot lawfully be excluded.<\/p>\r\n<h3>10.6 Personal Belongings and Property<\/h3>\r\n<p>Participants are responsible for their own personal belongings and valuables throughout the excursion. The Company shall not be responsible for loss, theft, damage or deterioration of personal property except to the extent caused by circumstances for which the Company is legally responsible.<\/p>\r\n<p>Participants must take reasonable care of Company property, vessels, equipment and facilities.<\/p>\r\n<p>Any damage to the vessel, pontoon, equipment, safety equipment or other Company property caused by a Participant's intentional act, misuse, negligence, reckless conduct or failure to follow instructions may be charged to the responsible Participant and\/or Booking Client, to the extent permitted by law.<\/p>\r\n<h3>10.7 Medical and Physical Fitness<\/h3>\r\n<p>Each Participant is responsible for determining whether they are physically and medically capable of participating safely in the selected activity.<\/p>\r\n<p>Participants must inform the Company or crew, before participation, of any relevant condition, limitation, medication, allergy, disability, pregnancy or other circumstance that may reasonably affect their ability to participate safely, where disclosure is necessary for the Company to assess or manage the associated risks.<\/p>\r\n<p>The Company reserves the right, where reasonably necessary for safety, to restrict or refuse participation in a particular activity.<\/p>\r\n<p>In the event of illness, injury or another emergency, Participants authorize the captain and crew to take reasonable emergency measures and, where considered necessary, to request emergency medical assistance or arrange transportation to appropriate medical facilities. Any resulting medical, transportation or related expenses shall be the responsibility of the Participant, except to the extent that applicable law provides otherwise.<\/p>\r\n<h3>10.8 Release of Claims<\/h3>\r\n<p>To the fullest extent permitted by applicable law, each Participant releases and agrees not to hold liable Vitamin Sea Ltd and its subsidiaries, affiliates, related companies, parent companies, successors, assigns, directors, officers, employees, crew, captains, agents, representatives, contractors, service providers, suppliers and other persons acting on their behalf (collectively, the \u201cReleased Parties\u201d) for claims arising from the inherent risks of the excursion or activity or from the Participant's own acts or omissions, including claims relating to injury, illness, death, loss, damage, delay or inconvenience, except to the extent that such liability results from circumstances for which the Released Party cannot legally exclude or limit its liability.<\/p>\r\n<p>Nothing in these Terms and Conditions shall be interpreted as excluding or limiting liability to the extent that such exclusion or limitation is prohibited by applicable law, including liability arising from fraud, wilful misconduct, gross negligence, or any other liability that cannot legally be excluded or limited.<\/p>\r\n<h3>10.9 Third-Party Services<\/h3>\r\n<p>Where the Company arranges, recommends, facilitates or incorporates services provided by third parties, the Company shall not be responsible for the acts, omissions, negligence, representations, delays, cancellations or failures of such third-party providers except to the extent required by applicable law.<\/p>\r\n<p>Participants acknowledge that third-party services may be subject to the provider's own terms and conditions.<\/p>\r\n<h3>10.10 Indemnification<\/h3>\r\n<p>To the fullest extent permitted by applicable law, a Participant and, where applicable, the Booking Client agree to indemnify and hold harmless the Company and the Released Parties against claims, losses, damages, costs and reasonable expenses arising from:<\/p>\r\n<ul>\r\n<li>the Participant's breach of these Terms and Conditions;<\/li>\r\n<li>the Participant's failure to comply with safety instructions;<\/li>\r\n<li>the Participant's negligent, reckless, unlawful or intentional conduct;<\/li>\r\n<li>damage caused by the Participant to the vessel, pontoon, equipment or property; or<\/li>\r\n<li>claims brought by another person arising from the Participant's acts or omissions.<\/li>\r\n<\/ul>\r\n<h3>10.11 Booking Client's Responsibility for Group Members<\/h3>\r\n<p>The Booking Client acknowledges that they are responsible for communicating these Terms and Conditions to all members of their booking party and for ensuring that each Participant is aware of the Company's safety requirements and participation conditions.<\/p>\r\n<p>However, the absence of a direct contractual relationship between the Company and an individual Participant, or the fact that the Participant did not personally make or pay for the booking, shall not prevent the Company from relying upon these Terms and Conditions against that Participant to the fullest extent permitted by applicable law.<\/p>\r\n<h2>11. LIABILITY WAIVER AND PARTICIPANT ACKNOWLEDGEMENT<\/h2>\r\n<h3>11.1 Mandatory Liability Form<\/h3>\r\n<p>As a condition of participation, the Company may require each Participant to complete and sign a Liability Waiver, Risk Acknowledgement or similar document before boarding the vessel or participating in any activity.<\/p>\r\n<p>The Company reserves the right to refuse participation to any person who refuses or fails to complete the required documentation, subject to applicable law.<\/p>\r\n<h3>11.2 Effect of Signature and Participation<\/h3>\r\n<p>By signing the Liability Waiver, the Participant expressly acknowledges that they have been informed of the nature of the excursion and its inherent risks, have had the opportunity to raise questions or concerns, and voluntarily agree to participate subject to these Terms and Conditions.<\/p>\r\n<p>Where a Participant does not personally sign the Liability Waiver, their participation in the excursion, boarding of the vessel, use of the pontoon, entry into the water, use of Company equipment, or participation in any activity shall nevertheless constitute their acknowledgement and acceptance of these Terms and Conditions, including the applicable safety requirements, assumption of inherent risks and limitations of liability, to the fullest extent permitted by applicable law.<\/p>\r\n<h3>11.3 No Requirement to Be the Booking Party<\/h3>\r\n<p>For the avoidance of doubt, the protections, exclusions, limitations, obligations and responsibilities contained in these Terms and Conditions are not restricted to the person who made the reservation or paid for the excursion.<\/p>\r\n<p>Every Participant is independently required to comply with these Terms and Conditions by virtue of their participation in the Company's services, whether their participation is:<\/p>\r\n<ul>\r\n<li>booked and paid for by themselves;<\/li>\r\n<li>booked and paid for by another person;<\/li>\r\n<li>included in a group reservation;<\/li>\r\n<li>provided as a complimentary or promotional service;<\/li>\r\n<li>arranged by a hotel, travel agent, tour operator or other intermediary; or<\/li>\r\n<li>otherwise facilitated or authorized by the Company.<\/li>\r\n<\/ul>\r\n<h3>11.4 No Waiver of Mandatory Legal Rights<\/h3>\r\n<p>Nothing in this Liability Waiver or these Terms and Conditions shall be construed as excluding, restricting or limiting any legal right, remedy or liability that cannot lawfully be excluded, restricted or limited under the laws applicable to the excursion.<\/p>\r\n<p>Where any provision is found to be invalid, unlawful or unenforceable, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.<\/p>\r\n<h3>11.5 Survival<\/h3>\r\n<p>The provisions concerning limitation of liability, assumption of risk, release, indemnification, property damage, applicable law and any other provision which by its nature is intended to survive shall remain effective following completion, cancellation or termination of the excursion or activity.<\/p>\r\n<h2>12.
